Corporate structures
The most common vehicle for foreign investors is the WLL (With Limited Liability Company), which requires a minimum of two shareholders and offers limited liability with no mandatory local ownership. A Single Person Company (SPC) allows a sole foreign owner. For larger enterprises or those seeking listing, the BSC (Bahrain Shareholding Company) — either closed or public — applies. Foreign companies can also establish a branch or a representative office, the latter being non-trading.
Financial services — CBB licensing
Bahrain has the GCC's most developed financial services regulatory framework outside the UAE. The Central Bank of Bahrain regulates banks (retail, wholesale, Islamic), investment firms, insurance, capital market operators, and fintech companies. Bahrain's fintech sandbox (administered by the CBB) allows fintech startups to test services under a regulatory umbrella before full licensing. CBB licensing timelines range from 3 months for a simple investment firm to 12+ months for a bank.
Bahrain International Investment Park (BIIP) and free zones
Bahrain's BIIP and the Bahrain Logistics Zone offer land, warehousing and light industrial facilities with 100% foreign ownership, full profit repatriation and 10-year tax holidays (Bahrain's zero corporate tax already applies nationally, so the additional benefit is mainly in customs and infrastructure terms). The incorporation process
- Check activity eligibility — most commercial and professional activities are open to 100% foreign ownership via Sijilat; a small number (e.g. certain retail, oil distribution) require prior approval.
- Register online through the Sijilat portal: reserve the trade name, select the legal structure, upload shareholder documents (passport copies, proof of address).
- Obtain a Commercial Registration (CR) number — typically within 1–3 business days for standard activities.
- Open a corporate bank account; most Bahraini banks require the CR before opening.
- Register for VAT with the National Bureau for Revenue (NBR) if annual taxable turnover exceeds BHD 37,500.
- Obtain sector approvals if required (CBB for financial services, MOIC for specific regulated activities).
